Terms of Service

1. Service description
Shift Resource (“Service”) is a B2B workforce scheduling and related operations software platform provided to customer organizations (“Customer”). The Service may include scheduling, staffing, overtime, leave, permits, reporting, and configuration features as enabled for the Customer’s organization.
2. Customer accounts
Accounts are provisioned for Customer organizations. The Customer is responsible for designating authorized administrators and for the accuracy of organization and workforce information entered into the Service.
3. Authorized users
Only users authorized by the Customer may access the Customer’s organization. Customers must promptly deactivate access for users who should no longer have access. Users must keep credentials confidential and must change temporary passwords when prompted.
4. Acceptable use
Customers and users may not misuse the Service, attempt unauthorized access, interfere with other customers’ data, reverse engineer the Service except as permitted by law, or use the Service for unlawful purposes.
5. Customer responsibility for workforce decisions
The Service assists with scheduling and related workflows. The Customer remains solely responsible for all workforce, safety, staffing, overtime, leave, permit, and compliance decisions. Shift Resource does not replace Customer supervision, plant procedures, or regulatory obligations.
6. Service availability
We aim to keep the Service available and to communicate material outages when practical. The Service may be unavailable due to maintenance, third-party infrastructure issues, or events beyond our reasonable control. Specific uptime commitments, if any, require a separately negotiated agreement.
7. Data
Customer data entered into the Service remains Customer business data, subject to our Privacy Policy (draft) and applicable law. We process Customer data to provide and secure the Service. Customers are responsible for lawful collection and use of employee and contractor information they submit.
8. Intellectual property
Shift Resource and its software, trademarks, and documentation remain our intellectual property. Customers receive a limited right to use the Service during an active subscription or authorized pilot, as configured for their organization.
9. Payment
Fees, implementation charges, and billing frequency are as agreed with the Customer and configured for the organization. Invoices are sent to the Customer's designated billing contact. Failure to pay may result in past-due status. Suspension of access, if any, is a deliberate account action and does not automatically delete Customer data.
10. Cancellation and suspension
Either party may terminate according to the commercial agreement. We may suspend access for non-payment, security risk, or material breach. Upon termination, access may be disabled while data is retained for a retention period pending export and eventual deletion as agreed or as required by law.
11. Disclaimers and limitation concepts
Except as expressly agreed in a signed contract, the Service is provided on an “as available” basis without warranties of unbroken availability or fitness for a particular plant’s regulatory outcome. Liability limitations and indemnities should be finalized by legal counsel before commercial launch.
12. Changes
We may update these Terms. Material changes will be posted with an updated version identifier. Continued use after notice may constitute acceptance where permitted by the commercial agreement and applicable law.
